DIRECTED TRADEFINDER ACCOUNT.

TradeFinder is a market research and trader education company that performs daily
market analysis. When its artificial intelligence market analysis finds high-probability
potential trades, it informs its monthly subscribers of these matters. Each subscriber
is responsible for reviewing and determining whether or not to act on the information.
All Subscriber Accounts are self-directed. Accordingly, subscribers are solely
responsible for any orders placed in their accounts. They understand that all orders
entered by them are unsolicited and based on their own investment decisions or the
investment decisions of their duly authorized representative or agent. Consequently,
any Subscriber of TradeFinder agrees that neither TradeFinder nor any of its
employees, agents, principals, or representatives:
				
1. provide investment advice in connection with a Subscriber Account.
2. recommend any security, transaction, or order.
3. solicit orders.
4. act as a market maker in any security.
5. make discretionary trades; and
6. produce or provide research. To the extent research materials or similar
information are available through TradeFinder or the websites of any of its
affiliates, these materials are intended for informational and educational
purposes only, and they do not constitute a recommendation to enter into any
securities transactions or to engage in any investment strategies.
Subscribers of TradeFinder can place order requests to be executed after 3:30 PM
Eastern Time (one-half hour before the market's closing each trading day. Order
placement before this time is withheld as TradeFinder’s artificial intelligence
continues to update the current market analysis.

All securities trading, whether in stocks, exchange-traded funds (“ETFs”), options, or
other investment vehicles, is speculative and involves substantial risk of loss. See

use the information on the SEC and FINRA websites. Subscribers can review public
companies’ filings at the SEC's EDGAR page. FINRA http://FINRA.org has published
information on how to invest carefully on its website. TradeFinder may also make
some of this information available on its website. TradeFinder believes that every
Subscriber must understand all of the risks of any form of trading or investing before
trading or investing real dollars. Past performance is not necessarily indicative of
future results. By investing their money in securities through TradeFinder,
Subscribers take full responsibility for all trading actions and should make every
effort to understand the risks involved.
				
1. You may lose money trading and investing.
Trading and investing in securities is always risky. For that reason, Subscribers
should trade or invest only with money they can afford to lose. While this is an
individual matter, typically, an investor should risk no more than 10 percent of his
or her liquid net worth--and, in many cases, they should risk less than that. For
example, if 10 percent of your liquid net worth represents your retirement
savings, you should not use that amount to buy and sell securities. Trading
stocks, ETFs, and stock options involve HIGH RISK, and YOU can LOSE a lot of
money. Margin trading involves interest charges and additional risks, including
the potential to lose more than deposited or the need to deposit additional
collateral in a falling market. Before using margin, subscribers must determine
whether this type of trading strategy is right for them given their specific
investment objectives, experience, risk tolerance, and financial situation.
				
2. Past performance is not necessarily indicative of future results. All investments
carry risk, and all trading decisions of an individual remain the responsibility of
that individual. There is no guarantee that systems, indicators, or trading signals
will result in profits or that they will not result in losses. All Subscribers are
advised to fully understand all risks associated with any kind of trading or
investing they choose to do.
				
3. Neither TradeFinder nor its affiliates provide any trading or investment advice.
TradeFinder also does not recommend securities or provide investment advice.
Therefore, Subscribers need to depend on their mastery of the details of trading
and investing to handle problematic situations that may arise, including the
consultation of their advisors as they deem appropriate.
				
4. Stop orders may reduce, but not eliminate, your trading risk. A stop market order
is placed with your broker to buy or sell a particular stock at the market price
when the price reaches a specified level. Traders often use stop orders to limit
the amount they might lose. When the market reaches whatever price you
specify, a stop order becomes an order to execute the desired trade at the best
immediately obtainable price.
However, there can be no guarantee that it will be possible under all market
conditions to execute the order at the specified price. In an active, volatile
market, the market price may be declining (or rising) so rapidly that there is no
opportunity to liquidate your position at the stop price you have designated.
Under these circumstances, TradeFinder’s only obligation is to submit your order
at the best price. Therefore, stop orders may reduce, but not eliminate, your
trading risk.
				
RISKS OF INVESTING IN STOCK AND ETFs
				
Investments always entail some degree of risk. Be aware that:
				
• Some stock investments cannot easily be sold or converted to cash. Check to
see if there is any penalty or charge if you must sell an investment quickly.
				
• Stock investments issued by a company with little or no operating history or
published information involve greater risk than investing in a public company with
an operating history and extensive public information.
				
• Stock investments are not federally insured against a loss in market value.
				
• Stock you own may be subject to tender offers, mergers, reorganizations, or
third-party actions that can affect the value of your ownership interest. Pay
careful attention to public announcements and information about such
transactions. They involve complex investment decisions. Be sure you fully
understand the terms of any offer to exchange or sell your shares before you act.
Failure to act can sometimes harm your investment, such as partial or two-tier
tender offers.
				
• The most significant risk in buying stock shares is the value falling to zero. On
the other hand, the risk of selling stock shorts can be substantial. "Short selling"
means selling stock that the seller does not own or any sale completed by the
delivery of a security borrowed by the seller. Short selling is a legitimate trading
strategy, but it assumes that the seller can buy the stock at a more favorable
price than the price at which they sold short. If this is not the case, the seller will
be liable for the increase in price of the shorted stock, which could be substantial.
				
• Investors should carefully consider the investment objectives and unique risk
profile of an ETF before investing. ETFs are subject to risks similar to those of
other diverse portfolios. Leveraged and Inverse ETFs may not be suitable for all
investors. They may increase exposure to volatility through leverage, short sales
of securities, derivatives, and other complex investment strategies. Although
ETFs are designed to provide investment results that generally correspond to the
performance of their respective underlying indices, they may not be able to
replicate the index's performance precisely because of expenses and other
factors. A prospectus contains this and other information about the ETF and
should be read carefully before investing. Subscribers should obtain
prospectuses from issuers and third-party agents who distribute them and make
them available for review. ETFs are required to distribute portfolio gains to
shareholders at year-end. These gains may be generated by portfolio
rebalancing or the need to meet diversification requirements. ETF trading will
also generate tax consequences.
				
RISKS OF AUTOMATED TRADING
				
You should know about risks unique to automated trading algorithms. A robust
system of continuous monitoring or alerting is essential to keep you informed if there
is a mechanical failure, such as connectivity issues, power loss, a computer crash,
or a system quirk. You should also monitor, for instance, where your automated
trading system experiences anomalies that could result in errant, missing, or
duplicated orders.
				
Mechanical failures.
The theory behind automated trading makes it seem simple: Set up the software,
program the rules, and watch it trade. However, automated trading is a sophisticated
yet not infallible method. TradeFinder will initially only support algorithms that run on
it’s system computers. Thus, your trading system will reside on a server computer
assigned to your account within a highly secure data center. That means an order
might not be sent to the market if an internet connection is lost. There is also the
potential for power loss, computer crashes, or some other system quirk that could
stop your algorithm from running or cause an anomaly. This underscores the crucial
role of monitoring. This is due to the potential for mechanical failures, such as
connectivity issues, power losses, computer crashes, and system quirks, as
mentioned above. It is also possible for an automated trading system to experience
anomalies that could result in errant orders, missing orders, or duplicate orders. Your
active monitoring and alerting system can identify and resolve these events quickly,
putting you in control of your trading system.
				
Trading Experience.
Your level of trading experience with automated trading systems is important in
deciding how to choose your overall trading strategy. Highly complex strategies with
many variables make it more challenging to determine whether the trades that will
be executed are designed to be profitable. Starting with simple automation strategies
will allow you to develop experience and learn the best trading methods for you.
				
Over-optimization.
Though not specific to automated trading systems, traders who employ back-testing
techniques can create systems that look great on paper and perform terribly in a live
market. Over-optimization refers to excessive curve-fitting that produces an
unreliable trading plan in live trading. It is possible, for example, to tweak a strategy
to achieve exceptional results on the historical data on which it was tested. Traders
sometimes incorrectly assume that a trading plan should have close to 100%
profitable trades or should never experience a drawdown to be a viable plan. As
such, parameters can be adjusted to create a "near-perfect" plan that fails as soon
as it is applied to a live market.
				
Programming discrepancies.
There could be a discrepancy between the 'theoretical trades' generated by the
strategy and the order entry platform component that turns them into real trades.
Most traders should expect a learning curve when developing automated trading
systems, and it is generally a good idea to start with small trade sizes or conduct
'paper trading' while the process is being refined. This learning curve is a natural part
of the process and should be embraced, as it allows you to refine your system and
gain valuable experience. It's a journey, not a race.
				
No High-Frequency Trading.
It's important to note that TradeFinder’s platform is NOT a high-frequency trading
platform. While an automated trading strategy can send trades to the market at a
high frequency, TradeFinder does not support the speed of either market data flow
or trade execution speed necessary for a high-frequency trading program to function
as intended. This information is crucial for your trading strategy, as it helps you
understand the platform's capabilities and limitations. Automated trading strategies
that have an over-reliance on the speed of market data and speed of execution will
not be able to compete effectively with traders who have state-of-the-art equipment
and very short high-speed connections to the market when the connection you are
using to the internet is via a residential internet service provider.
				
Reliance on Risk-Reducing Orders or Strategies.
With automated trading, substituting manual market monitoring by placing specific
orders (e.g., stop-loss orders or ‘stop-limit’ orders), which are intended to limit losses
to amounts, may not be effective because market conditions may make it impossible
to execute such orders. Sometimes, it is also difficult or impossible to liquidate a
position without incurring substantial losses, and TradeFinder’s platform does
provide a readily available manual intervention process.
